Marcin specializes in tax law, civil law, labor law and commercial law. With over a dozen years of experience in providing legal and tax services to businesses and individuals, he offers support with respect to restructuring processes, company and partnership mergers, divisions and conversions, as well as in-kind contributions, additional capital contributions and debt/equity swaps. He handles tax reviews, due diligence audits, including ones relating to first occupation of real estate, and assists Clients in the assessment of tax risk in commercial transactions, as well as tax planning and optimization (local and international).

Clients trust Marcin to represent them in tax cases before tax authorities and administrative courts. The scope of his professional interests includes the tax aspects of promotional and marketing campaign planning and management. He co-authored the publications “The Personal Income Tax Act of 2009: A Commentary” and “Selected Tax Aspects of Company Restructuring,” published by the publishing house of Instytut Studiów Podatkowych.

He is the author of many articles focusing on tax law published in, i.a., Prawo i Podatki, Dziennik Gazeta Prawna and Rzeczpospolita (newspapers). He graduated from of the Law and Administration Faculty at Nicolaus Copernicus University in Toruń and the Jean Monnet Centre for European Studies in Toruń.

Licensed as an attorney-at-law in 2010, member of the Warsaw Bar Association, graduate of the Faculty of Law and Administration at Warsaw University. 

Andrzej advises on investment financing, corporate law and real estate law, with focus on financing and refinancing transactions for a variety of real estate projects. He drafts and negotiates loan agreements (with side agreements) and provides a full range of services related to loan security arrangements.

He consults on restructuring processes, company mergers and conversions, as well as share and asset deals, while also helping Clients to implement real estate projects and handling due diligence audits of companies and real estate.

Andrzej also navigates Clients through real property commercialization, providing support in negotiations and commercial and office space lease drafting, as well as helps them close and enforce construction works agreements and other agreements related to the investment process.

He has a strong track record of litigating commercial cases in civil and administrative courts.

Anna is a legal practitioner with a strong background in tax and commercial law. She has extensive experience in supporting businesses through tax inspections and proceedings, as well as dealing with administrative courts. She boasts practical, in-depth knowledge of tax law and tax strategy development gained while working for many years for law firms (Lovells H. Seisler sp.k.; Salans D. Oleszczuk Kancelaria Prawnicza sp.k. – Head of Tax; Baker & McKenzie Polska sp. z o.o.) and the world’s leading audit firms (Ernst & Young, Deloitte – Manager in Tax Advisory Department).  Anna has handled numerous tax reviews and audits for businesses, focusing both on the correct application of tax regulations and the identification of tax risks and optimization options. She is a seasoned specialist in tax training for businesses (working with original training programs).

Anna has been providing a variety of services across many industries:

Tax and legal advice for entities operating in the following sectors: (i) consumer goods, (ii) real estate, (iii) insurance, (iv) security broking, (v) transport, (vi) energy; tax advice in connection with projects concerning securities and the financial markets, e.g., services related to Commercial Papers Programs and stock option plans;  preparing the tax section of the due diligence audit and the prospectus relating to the privatization of a priority company operating in the Polish telecommunications market; preparing the tax section of the due diligence audit in connection with the privatization of one of Poland’s key CHP plants; developing tax solutions for securitization transactions (e.g. Poland’s first project involving consumer loan securitization).
